We handle entire joint venture endeavors from inception to final agreement, with special emphasis on structure of the venture entity and corporate governance between or among the ventures.

We structure general partnerships, limited partnerships and limited liability companies and corporations, and remain involved with these entities on behalf of our clients throughout their existence, including their modification, expansion and dissolution. We also have extensive experience in negotiating project development and investment joint ventures. Examples of the ventures formed by our attorneys include:

  • The creation of a publicly traded real estate investment trust (“REIT”) consisting of both foreign and domestic properties. We were instrumental in structuring and negotiating the methods of transfer of ownership rights, the strategic alliance agreement between the REIT and the founding entity, and the property acquisition agreements with numerous third parties.
  • The creation of a parent joint venture comprised of multiple smaller ventures responsible for owning and operating a luxury condominium in Bethesda, MD consisting of over 200 residential condominiums, an amenities unit, and a health care condominium unit composed of over 80 units. Our attorneys prepared operating, development and management agreements for all of the related entities and to closed over $200,000,000 in financing for the project.
  • The creation of a complex suite of entities responsible for owning and operating a large mixed-use office building in Gaithersburg, MD. We assisted our client in forming a joint venture with an equity investor; negotiating a ground lease; creating operating, development and management agreements for the various constituent entities; and coordinating over $20,000,000 in construction financing.
